1. Acceptance of Terms

Welcome to RegattaStream. These Terms of Use govern your access to and use of RegattaStream.com, including our website, mobile applications, AI-powered race analysis platform, live streaming services, and related features (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organization, team, or regatta event, you represent and warrant that you have authority to bind that organization to these Terms.

These Terms constitute a legally binding agreement between you and RegattaStream. Please read them carefully.

2. Description of Services

RegattaStream provides an AI-powered platform for rowing race streaming, analysis, and community engagement. Our Services include:

  • Live streaming and on-demand viewing of rowing races and regattas
  • AI-powered race analysis, real-time performance metrics, and predictive insights
  • Automated race commentary and statistics generation
  • Race results, leaderboards, and historical performance data
  • Team and athlete profiles, race schedules, and event information
  • Community features including comments, highlights, and social sharing
  • Broadcasting tools for event organizers and race committees
  • Premium content, exclusive coverage, and advanced analytics features

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3. User Accounts and Registration

3.1 Account Types

RegattaStream offers different account types, including free accounts, premium subscriptions, athlete profiles, team accounts, and event organizer accounts. Each account type has different features, privileges, and requirements as described on our website.

3.2 Account Creation

To access certain features of the Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

3.3 Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials. You may not share your account credentials or allow others to access your account.

3.4 Age Requirements

You must be at least 13 years old to use the Services. If you are between 13 and 18 years old, you represent that you have obtained parental or guardian consent to use the Services. We recommend parental involvement for users under 18.

3.5 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, including if we believe you have violated these Terms. You may terminate your account at any time through your account settings or by contacting our support team.

4. Subscription Plans and Payment Terms

4.1 Free and Premium Services

RegattaStream offers both free and premium subscription tiers. Free accounts provide access to basic features with limitations on content availability, video quality, and advanced analytics. Premium subscriptions unlock additional features, exclusive content, ad-free viewing, and enhanced functionality as described on our pricing page.

4.2 Subscription Billing

Premium subscription fees are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize us to charge your designated payment method for all subscription fees. If automatic billing fails, we will notify you and may suspend premium features until payment is received.

4.3 Event-Specific Purchases

Certain premium events, championship races, or special coverage may require individual purchase or pay-per-view access in addition to or separate from a premium subscription. These purchases are non-refundable except as required by law or in cases of technical failure preventing access to the purchased content.

4.4 Price Changes

We reserve the right to modify subscription pricing at any time. Price changes will not affect your current subscription period but will apply upon renewal. We will provide at least 30 days' notice before any price increase takes effect.

4.5 Refund Policy

Subscription fees and event purchases are generally non-refundable. However, we may offer refunds at our sole discretion in cases of service failure, technical issues preventing content access, billing errors, or other exceptional circumstances. Refund requests must be submitted within 14 days of the charge in question.

4.6 Cancellation

You may cancel your premium subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period. You will retain premium access until the end of the paid period. No partial refunds will be provided for early cancellation.

4.7 Free Trials

We may offer free trial periods for premium subscriptions. Free trial users must provide payment information and will be automatically charged the applicable subscription fee at the end of the trial period unless the subscription is cancelled before the trial ends.

5. User Content and Conduct

5.1 User-Generated Content

You may have the opportunity to post comments, upload videos, share race highlights, create athlete profiles, or submit other content to the Services ("User Content"). You retain ownership of your User Content, but by submitting it to RegattaStream, you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, distribute, display, and create derivative works from your User Content in connection with operating and improving the Services.

5.2 Content Standards

You agree that your User Content will not:

  • Violate any applicable laws or regulations
  • Infringe upon the intellectual property rights or privacy rights of others
  • Contain defamatory, obscene, abusive, or hateful material
  • Harass, threaten, or intimidate any person
  • Contain spam, advertising, or promotional content (unless authorized)
  • Include malware, viruses, or harmful code
  • Misrepresent your identity or affiliation

5.3 Content Moderation

We reserve the right, but have no obligation, to monitor, review, edit, or remove User Content that violates these Terms or is otherwise objectionable. We may remove content and suspend or terminate accounts for violations without prior notice.

5.4 Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to all User Content you submit and that your User Content does not violate any third-party rights or applicable laws.

6. Acceptable Use Policy

You agree to use the Services only for lawful purposes. You agree not to:

  • Violate any applicable laws, regulations, or third-party rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Attempt to gain unauthorized access to the Services, accounts, or systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Scrape, spider, or use automated means to access content without authorization
  • Circumvent any content protection, access control, or usage rules
  • Download, record, or redistribute content without permission (except personal viewing)
  • Use the Services for commercial purposes without our authorization
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Manipulate race results, athlete statistics, or performance data
  • Create fake accounts or engage in fraudulent activity
  • Engage in any activity that could damage or overburden the Services

Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action as appropriate.

7. Intellectual Property Rights

7.1 RegattaStream Content

All content available through the Services, including video streams, race footage, AI generated analysis, commentary, graphics, logos, software, and other materials (excluding User Content), are owned by RegattaStream, our licensors, event organizers, or content partners and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited Viewing License

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and view content through the Services for personal, non-commercial use only. This license does not include the right to download (except where explicitly permitted), reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, or transmit any content.

7.3 Restrictions

You may not record, capture, download, or redistribute any video streams or content from the Services except where explicitly authorized. You may not remove, alter, or obscure any copyright, trademark, or other proprietary rights notices. Commercial use, public performance, or exhibition of any content requires our prior written consent.

7.4 Trademarks

RegattaStream and related logos, designs, and phrases are trademarks or service marks of RegattaStream. You may not use these marks without our prior written consent. All other trademarks appearing on the Services are the property of their respective owners.

7.5 DMCA and Copyright Complaints

We respect the intellectual property rights of others and expect our users to do the same. If you believe that content on our Services infringes your copyright, please submit a notice to our designated copyright agent at dmca@regattastream.com with the information required by the Digital Millennium Copyright Act (DMCA).

8. Event Organizer and Broadcasting Terms

8.1 Broadcasting Rights

Event organizers who broadcast races through RegattaStream retain ownership of their event footage but grant RegattaStream a license to stream, store, display, and distribute the content through our platform. The specific terms of broadcasting partnerships are governed by separate agreements between RegattaStream and event organizers.

8.2 Content Licensing

Event organizers represent and warrant that they have obtained all necessary rights, permissions, and releases for broadcasting their events, including rights to athlete likenesses, event footage, and any music or other copyrighted materials included in broadcasts.

8.3 Revenue Sharing

Revenue sharing arrangements for premium events, pay-per-view content, and advertising are governed by separate agreements between RegattaStream and event organizers or content partners.

9. Privacy and Data Collection

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

We collect and use various types of data, including:

  • Account information and profile data
  • Viewing history, preferences, and engagement metrics
  • Device information, IP addresses, and usage data
  • Race performance data and athlete statistics (where provided)
  • Payment information (processed securely through third-party processors)

The Services may contain links to third-party websites, services, or applications, including social media platforms, payment processors, and analytics providers. These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, functionality, or practices of any third-party services.

11. Disclaimers and Limitations of Liability

11.1 Service Availability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT GUARANTEE THE QUALITY, ACCURACY, OR AVAILABILITY OF ANY STREAMS, RACE RESULTS, OR AI-GENERATED ANALYSIS.

11.2 Technical Issues

Live streaming depends on various factors beyond our control, including internet connectivity, weather conditions at event venues, and technical equipment. We are not responsible for interruptions, delays, or quality issues in live streams resulting from factors outside our reasonable control.

11.3 Data Accuracy

While we strive for accuracy, race results, timing data, and AI-generated analysis may contain errors or inaccuracies. Official race results should be verified with event organizers. We disclaim all liability for decisions made based on data provided through the Services.

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REGATTASTREAM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO REGATTASTREAM IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

11.5 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless RegattaStream, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your User Content; (d) your violation of any rights of another party; or (e) your violation of any applicable laws or regulations.

13. Dispute Resolution

13.1 Informal Resolution

If you have a dispute with RegattaStream, you agree to first contact us and attempt to resolve the dispute informally by contacting our support team at support@regattastream.com. We will attempt to resolve disputes in good faith within 30 days.

13.2 Binding Arbitration

If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in California, and judgment on the arbitration award may be entered in any court having jurisdiction.

13.3 Class Action Waiver

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND REGATTASTREAM INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER, AND THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

13.4 Exceptions

Either party may seek equitable relief in any court of competent jurisdiction for violations of intellectual property rights or to prevent unauthorized use of the Services.

14. Termination

14.1 Termination by You

You may terminate your account and stop using the Services at any time through your account settings or by contacting our support team. Termination will not relieve you of any obligations to pay outstanding fees for services already provided.

14.2 Termination by RegattaStream

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

14.3 Effect of Termination

Upon termination, you will lose access to your account, viewing history, and any purchased content. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email, through the Services, or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

If you do not agree to the modified Terms, you must stop using the Services and may terminate your account. The effective date of the current Terms is indicated at the top of this document.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and RegattaStream regarding the Services and supersede all prior agreements and understandings.

16.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in California.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.5 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

16.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including weather conditions affecting live events, internet service disruptions, or equipment failures at venue locations.

16.7 International Use

The Services are controlled and operated from the United States. We make no representation that the Services are appropriate or available for use in other locations. Access to the Services from jurisdictions where the content is illegal is prohibited.
