1Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MyoSport Inc., a Delaware corporation ("MyoSport," "we," "our," or "us"), governing your access to and use of the RegattaStream platform, including the mobile application, website, APIs, and all related features and services (collectively, the "Services").

By creating an account, accessing, or using the Services, you represent that: (a) you are at least 13 years of age; (b) if you are between 13 and 17, you have obtained parental or guardian consent; (c) you have the legal capacity to enter into binding agreements; and (d) you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Services on behalf of an organization (such as a rowing club, school, or institution), you represent that you have authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.

2Description of Services

RegattaStream is a sports technology platform purpose-built for the US rowing community. The Services include, but are not limited to:

• Race results aggregation from affiliated timing platforms and governing bodies
• Speed Order national rankings and club performance standings
• Athlete and club profile management
• CrewChat in-app messaging and community features
• Boat Bay fleet and equipment management tools
• Video analysis and performance coaching features
• Reel Maker media creation tools
• Personalized results emails and club notifications
• Wearable device integration (Concept2, WHOOP, Garmin, Oura, and others)
• Premium subscription features and founding member benefits

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Services.

3Accounts and Registration

3.1 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 Account Security

You must notify us immediately at hello@regattastream.com if you suspect unauthorized use of your account or any security breach. We are not liable for any loss or damage resulting from your failure to maintain account security. You may not share your account credentials with others or allow others to access your account.

3.3 Club and Organization Accounts

Club administrators and coaches may create accounts that manage profiles for multiple athletes, including minors. The account holder assumes full responsibility for all activity conducted through such accounts and for compliance with applicable laws regarding the management of data belonging to minors.

3.4 Account Termination by User

You may close your account at any time by contacting us at hello@regattastream.com or through the account settings in the app. Upon account closure, your personal data will be handled in accordance with our Privacy Policy.

4Subscriptions and Payments

4.1 Free and Premium Tiers

RegattaStream offers both free and premium subscription plans. Premium features, including founding member benefits and advanced analytics, require a paid subscription. Plan details, pricing, and feature availability are described on our website and may be updated from time to time.

4.2 Billing and Renewal

Paid subscriptions are billed on a recurring basis (monthly or annual, as selected at checkout). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By providing payment information, you authorize us (via our payment processor, Stripe) to charge your payment method on a recurring basis.

4.3 Price Changes

We reserve the right to change subscription pricing with at least 30 days' advance notice. Founding member pricing is governed by the specific terms communicated at the time of enrollment and will be honored for the duration of any locked-rate commitment period.

4.4 Refunds

Subscription fees are generally non-refundable except where required by applicable law. If you believe you have been charged in error, please contact hello@regattastream.com within 30 days of the charge. We will evaluate refund requests on a case-by-case basis.

4.5 Taxes

You are responsible for all applicable taxes associated with your use of the Services. Where required by law, we may collect and remit sales tax or VAT on your behalf.

5User Content

5.1 Your Content

The Services allow you to upload, submit, post, and share content including text, photos, videos, performance data, and other materials ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant MyoSport a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and create derivative works of your User Content solely to operate, improve, and promote the Services.

5.2 Content Standards

You agree that your User Content will not:

• Violate any applicable law or regulation
• Infringe the intellectual property rights of any third party
• Contain false, misleading, defamatory, or harassing content
• Include personal information of others without their consent
• Contain malware, viruses, or other harmful code
• Promote or glorify violence, illegal activity, or discrimination
• Constitute spam or unauthorized commercial communications

5.3 Content Moderation

We reserve the right (but have no obligation) to review, remove, or restrict access to any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable. We are not liable for the content posted by users.

5.4 Competitive Results Data

Race results, regatta data, and competitive records aggregated by RegattaStream from timing platforms and governing bodies are treated as public competitive records consistent with how such data is published within the rowing community. By participating in sanctioned regattas, athletes and clubs consent to the public dissemination of their competitive results through platforms such as RegattaStream.

6Intellectual Property

6.1 Our Intellectual Property

The Services and all content, features, and functionality therein — including but not limited to the RegattaStream name, logo, Speed Order ranking algorithms, software, design, text, graphics, and data compilations — are owned by MyoSport Inc. and are protected by US and international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works from our intellectual property without our express written permission.

6.2 Feedback

If you provide suggestions, feedback, or ideas regarding the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose without compensation to you. We are not obligated to implement any Feedback.

6.3 Third-Party Content

The Services may display content from third parties, including timing platforms, USRowing, and affiliated organizations. Such content is the property of its respective owners and is subject to their terms. We make no warranties regarding third-party content.

6.4 DMCA and Copyright Complaints

If you believe that content on RegattaStream infringes your copyright, please send a DMCA notice to hello@regattastream.com with: (a) identification of the copyrighted work; (b) identification of the infringing material; (c) your contact information; (d) a statement of good faith belief; and (e) a statement of accuracy under penalty of perjury.

7Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of these Terms
• Scrape, crawl, or systematically extract data from the Services without our written permission
• Attempt to reverse engineer, decompile, or disassemble any part of the Services
• Interfere with or disrupt the integrity or performance of the Services or servers
• Circumvent any access controls, authentication mechanisms, or security features
• Use automated bots, scripts, or tools to create accounts or interact with the Services
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Harvest or collect personal information about other users without their consent
• Post or transmit content that constitutes spam, phishing, or unsolicited commercial communications
• Use the Services to compete with RegattaStream or to build a substantially similar product
• Access or use the Services in a manner that could damage, disable, or impair them
• Facilitate or encourage any of the above activities

Violation of these prohibitions may result in immediate account suspension or termination, and may subject you to civil or criminal liability.

8Third-Party Services and Integrations

The Services integrate with or link to third-party platforms including timing providers, USRowing, Concept2, WHOOP, Garmin, Oura, Stripe, SendGrid, and others. These integrations are provided for your convenience. We do not control third-party platforms and are not responsible for their content, privacy practices, or service availability. Your use of third-party services is governed by their respective terms and privacy policies.

By authorizing a third-party integration (such as connecting a wearable device or social login), you consent to the sharing of relevant data between RegattaStream and that third party as described in our Privacy Policy. You may revoke integrations at any time through your account settings.

9Disclaimers of Warranties

• We do not warrant that the Services will be uninterrupted, error-free, or secure
• We make no warranties as to the accuracy, completeness, or timeliness of race results, rankings, or other data
• We do not warrant that defects will be corrected or that the Services are free of viruses or other harmful components

Race results and rankings are aggregated from third-party sources and may contain errors or omissions. RegattaStream is not the official results authority for any regatta or governing body. For official results, consult the relevant regatta director or timing provider.

10Limitation of Liability

This includes but is not limited to:

• Loss of profits, revenue, data, goodwill, or business opportunities
• Damages arising from inaccurate or incomplete race results or rankings
• Damages resulting from unauthorized access to or alteration of your data
• Damages arising from your use of or inability to use the Services

In all cases, MyoSport's total cumulative liability to you for any claims arising from or related to these Terms or the Services shall not exceed the greater of: (a) the total amount you paid to MyoSport in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100.00).

11Indemnification

You agree to indemnify, defend, and hold harmless MyoSport Inc. and its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or access to the Services
• Your User Content
• Your violation of these Terms
• Your violation of any rights of a third party, including intellectual property or privacy rights
• Your violation of any applicable law or regulation

MyoSport reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims.

12Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

12.2 Informal Resolution

Before filing any formal legal claim, you agree to contact us at hello@regattastream.com and describe the dispute in reasonable detail. We will attempt to resolve the dispute informally within 30 days of receipt.

12.3 Binding Arbitration

If informal resolution is unsuccessful, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Marin County, California or virtually. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

12.4 Class Action Waiver

You and MyoSport agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any class or representative proceeding. The arbitrator may not consolidate more than one person's claims.

12.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or other irreparable harm.

13Term and Termination

These Terms are effective as of the date you first access or use the Services and remain in effect until terminated. We may terminate or suspend your access to the Services immediately, without prior notice or liability, if you breach these Terms or for any other reason in our sole discretion.

Upon termination: (a) your right to use the Services will immediately cease; (b) you remain liable for all obligations incurred prior to termination; and (c) Sections 5.1, 6, 9, 10, 11, 12, and 15 of these Terms will survive.

You may terminate your account at any time by contacting hello@regattastream.com. Termination does not entitle you to a refund of any prepaid subscription fees.

14Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last Updated" date, sending a notification through the app, or emailing you at the address associated with your account. Your continued use of the Services after the effective date of any modification constitutes your acceptance of the revised Terms.

If you do not agree to the modified Terms, you must stop using the Services and may close your account.

15General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any additional terms applicable to specific features, constitute the entire agreement between you and MyoSport regarding the Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of MyoSport.

15.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction in connection with a merger, acquisition, or sale of assets. These Terms will bind and benefit any permitted successors and assigns.

15.5 Force Majeure

We are not liable for any delay or failure to perform our obligations under these Terms resulting from circumstances beyond our reasonable control, including natural disasters, acts of government, labor disputes, internet outages, or third-party service failures.

15.6 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No person other than you and MyoSport shall have any right to enforce these Terms.

15.7 Notices

Legal notices to MyoSport must be sent by email to hello@regattastream.com with "Legal Notice" in the subject line. We may send notices to you at the email address associated with your account.

15.8 Export Controls

You agree to comply with all applicable US export control laws and regulations in connection with your use of the Services.
